Company No.: 14456444
Registered Office: 86–90 Paul Street, London, EC2A 4NE, United Kingdom
Governing Law: England and Wales

Applicable To: All clients, partners, licensees, and white-label operators under the Xdemór Infrastructure

1. Scope and Applicability #

Xdemór Infrastructure provides website development, configuration, and integration services in accordance with standard technical practices, supported frameworks, and explicitly agreed specifications.

Services may be delivered:

  • under Xdemór-owned brands;
  • through licensed operators within Xdemór Infrastructure;
  • via third parties using Xdemór’s white-label architecture.

The scope is limited to the explicitly agreed deliverables and includes, where applicable:

  • custom website development;
  • ready-to-use websites and templates;
  • integrations and extensions of existing websites;
  • plugin installation, widgets, and third-party system connections.

Any work not expressly included in the agreed scope is out of scope by default.

2. Technological Framework #

Xdemór Infrastructure operates using the following technology stack, subject to project suitability:

  • CMS: WordPress (Divi, Elementor, Bricks)
  • Custom development: HTML, CSS, JavaScript, PHP, React
  • DevOps: Git repositories, staging environments, automated backups
  • Hosting: Fludnox or explicitly stated partner providers

The selected stack does not imply unlimited customization or ongoing adjustments.

3. Scope of Service and Responsibilities #

3.1 Development Scope #

Development includes frontend and backend work strictly aligned with:

  • the selected service package; or
  • the written custom specification approved prior to execution.

Requests for cosmetic adjustments, layout refinements, spacing, typography, alignment, sizing (including pixel-level changes), or stylistic preferences after delivery are not included, unless explicitly covered by an active maintenance or iteration agreement.

3.2 Maintenance and Security #

Maintenance, updates, fixes, and security monitoring are included only where an active subscription or maintenance agreement exists.

Without such an agreement, full responsibility for:

  • updates,
  • compatibility,
  • security,
  • performance,
  • and ongoing functionality
  • rests entirely with the Client.

3.3 Third-Party Dependencies #

Xdemór bears no responsibility for issues arising from:

  • hosting providers;
  • plugins, APIs, or third-party services (e.g. Google, Meta, Stripe);
  • changes, outages, incompatibilities, or policy updates imposed by third parties.

3.4 Client Access and Post-Delivery Intervention #

Once delivery and handover have occurred, Xdemór bears no responsibility for:

  • damage caused by client edits or third-party interventions;
  • lack of maintenance;
  • configuration changes not performed by Xdemór.

4. Billing & Payment Terms #

All billing, payment, suspension, escalation, and termination matters not expressly defined in this section shall be governed by the Xdemór Terms of Service ↗, including:
– Clause 8. Fees, Payments and Licensing ↗
– Clause 9. Termination and Suspension  ↗

5. Intellectual Property and Code Usage #

5.1 Ownership #

Unless otherwise agreed in writing:

all code, components, modules, and processes created by Xdemór remain the exclusive property of The Xdemór Group Limited.

5.2 Reuse Requests #

Reuse of code or modules from a delivered project requires:

  • a written request with justification;
  • explicit written approval from an authorised Xdemór representative.

6. Development and Handover Process #

6.1 Delivery Phases #

Projects typically follow these phases:

  • requirements confirmation;
  • development environment setup;
  • build and configuration;
  • integrations and personalisation;
  • testing and validation;
  • handover.

6.2 Handover #

Delivery is completed via:

  • credential transfer or admin access; or
  • official provider channels.

Post-handover changes are considered new work unless otherwise contractually agreed.

7. Limitations and Disclaimers #

Xdemór does not guarantee delivery timelines where delays result from:

  • missing content;
  • delayed feedback or approvals;
  • third-party dependencies;
  • access restrictions;
  • force majeure or regulatory changes.

Xdemór is not obligated to perform refinements, adjustments, or “minor fixes” outside the agreed scope, regardless of perceived effort or cost.
