Applicable To: All clients, partners, licensees, and white-label operators under the Xdemór Infrastructure


This SEO Management Service Policy (“Policy”) constitutes binding contractual terms governing the provision of SEO services delivered through the Xdemór Infrastructure.

This Policy is incorporated by reference pursuant to Clause 8.10 (Policy Incorporation and Amendment) of the Xdemór Terms of Service and applies prospectively from its Effective Date.

In the event of any inconsistency, the following order of priority applies:

  1. Any executed Individual Agreement, Order Form, or Statement of Work;

  2. Xdemór Terms of Service;

  3. High-Risk Client Addendum;

  4. Data Processing Agreement;

  5. this Policy.

2. Scope of SEO Management Services #

Xdemór provides SEO management services strictly limited to activities expressly agreed and documented, which may include:

  • keyword research and search intent analysis;

  • on-page optimisation (including metadata, headings, and structured data);

  • technical SEO audits and SEO-specific implementation;

  • backlink acquisition conducted within platform-compliant and ethical frameworks;

  • SEO content strategy and AI-assisted content generation;

  • SERP monitoring and competitor intelligence.

Any service not expressly listed above is out of scope by default, including but not limited to web development beyond SEO implementation, conversion rate optimisation, paid advertising, legal review of content, or business performance guarantees.

3. Operational Control #

Xdemór retains exclusive control over:

  • SEO methodologies and technical approaches;

  • tooling, platforms, and analytics environments;

  • sequencing, prioritisation, and execution of SEO activities.

The Client may not interfere with execution, mandate specific tactics, vendors, or platforms, or issue operational instructions outside the agreed scope. Informal, verbal, or third-party instructions are not binding.

4. No Guarantees and Third-Party Dependency #

SEO services are inherently dependent on third-party platforms, systems, and algorithms outside Xdemór’s control.

Accordingly, Xdemór does not guarantee:

  • ranking positions;

  • traffic volumes;

  • indexation or visibility;

  • revenue, conversions, or business outcomes.

Xdemór bears no liability for algorithm updates, platform policy changes, enforcement actions, penalties, or delays imposed by search engines or other third parties.

5. Client Responsibilities #

The Client is solely responsible for:

  • the legality, accuracy, and ownership of all content, data, and materials provided;

  • obtaining and maintaining all necessary rights, licences, and permissions;

  • implementing cookie notices, consent mechanisms, and privacy disclosures;

  • compliance with applicable advertising, consumer protection, and sector-specific regulations.

Failure to provide timely access, approvals, or cooperation may result in suspension or limitation of service delivery without affecting payment obligations.

6. Data Protection (UK GDPR) #

6.1 Roles #

For SEO services involving personal data:

  • the Client acts as Data Controller;

  • Xdemór acts solely as Data Processor.

These roles apply in accordance with the UK General Data Protection Regulation and the Data Protection Act 2018.

6.2 Lawful Basis #

The Client is solely responsible for identifying, documenting, and maintaining a valid lawful basis under Article 6 UK GDPR for all personal data processed in connection with SEO activities.

Xdemór does not determine the lawful basis and assumes no responsibility for its validity or sufficiency.

6.3 Categories of Data #

Processing may include technical identifiers (such as IP addresses), behavioural analytics, technical metadata, and usage data, as further specified in the Data Processing Agreement.

Special category data is not processed unless explicitly agreed in writing and subject to appropriate safeguards.

7. Subprocessors and International Transfers #

Xdemór may engage authorised subprocessors and perform international data transfers in accordance with applicable data protection law, including the use of adequacy decisions, Standard Contractual Clauses, or the UK International Data Transfer Agreement, as set out in the Data Processing Agreement.

The Client retains a right to object to new subprocessors on documented legal grounds within the timeframe specified in the Data Processing Agreement.

8. Intellectual Property #

Upon full payment, the Client receives a limited, non-transferable commercial licence to use SEO deliverables created under the Services for its internal business purposes.

Xdemór retains exclusive ownership of all methodologies, frameworks, tools, automation logic, scripts, systems, and internal processes used in the provision of SEO services. No ownership transfer is implied.

9. Billing, Suspension, and High-Risk Controls #

All billing, payment, suspension, escalation, and termination matters are governed exclusively by the Xdemór Terms of Service and, where applicable, the High-Risk Client Addendum.

Where a Client is classified as high-risk, Xdemór may apply scope restrictions, require upfront payment, reduce service cadence, suspend services, or apply Final Lock in accordance with the contractual framework.

10. Confidentiality #

All commercial, technical, and operational information exchanged in connection with SEO services is confidential and shall not be disclosed except as required by law or permitted under the governing agreements. Confidentiality obligations survive termination.

11. Amendments #

This Policy may be amended in accordance with Clause 8.10 of the Xdemór Terms of Service. Continued use of the Services after the effective date of an amended version constitutes acceptance.

12. Governing Law and Jurisdiction #

This Policy is governed by the laws of England and Wales.
The courts of England and Wales shall have exclusive jurisdiction.
